§ — Legal / Terms

Terms of service.

These are the terms under which CC Golden Leaf LLC offers Eliopi — the marketing site, the console, and the APIs. By using any of them, you agree to what is set out below.

§ 01Acceptance of these terms

By creating an account, signing an order form, or using any surface of Eliopi — the marketing site, the console, or the APIs — you accept these terms on behalf of yourself and, if you are acting for a company, on behalf of that company. If you do not have authority to do so, do not use the service.

If your company has signed a separate master services agreement with us, that agreement controls where it conflicts with these terms. Otherwise, these terms are the agreement.

§ 02Your account

You are responsible for the activity of any user you add to your Eliopi account, including the confidentiality of their credentials and API keys. Tell us promptly if you suspect a key has been exposed — we can rotate it with you in minutes. We may suspend accounts we reasonably believe have been compromised until we have worked through the incident together.

§ 03License to use Eliopi

Subject to your compliance with these terms and the payment of any fees owed, we grant you a non-exclusive, non-transferable, revocable license to use Eliopi during your subscription term. The license is for use in your business; it does not authorise resale, white-labelling without written consent, or competitive benchmarking without our permission.

§ 04Acceptable use

You agree not to use Eliopi to process payments for goods or services prohibited by our Acceptable Use Policy — which includes, at a minimum, the items prohibited by the card networks we route to. You agree not to probe, scan, or stress-test the service without prior written coordination with our security team, and not to attempt to bypass the rate limits, scopes, or access controls of the platform.

§ 05Payment processing

Eliopi acts as a technical payment facilitator — we orchestrate the movement of money between your customers, their banks, the card networks, and the acquirers you contract with. We are not the merchant of record for the transactions we route unless the order form states so in writing. Chargebacks, refunds, and reserve requirements are governed by your processor agreements and by the card network rules you and your processor are bound to.

§ 06Fees and taxes

You will pay the fees set out in your order form, plus any interchange and scheme fees we pass through at cost. Fees are due net 15 from the invoice date unless the order form says otherwise. Amounts are exclusive of taxes; you are responsible for any taxes levied on our fees in your jurisdiction. Late amounts accrue interest at the lower of 1.5% per month or the maximum rate permitted by law.

§ 07Customer data

You retain all rights to the data you send us for processing. You grant us a limited licence to use that data only to operate the service, meet our legal obligations, and improve the product — strictly in line with our privacy policy and any Data Processing Addendum in force between us. You are responsible for having the rights and consents necessary to send us the data you send.

§ 08Intellectual property

We retain all rights to Eliopi — the software, the API, the docs, the brand. If you give us feedback, we can use it freely without owing you anything. You retain all rights to your content, your data, and any integrations you build on top of our APIs.

§ 09Term and termination

These terms remain in force for the duration of your subscription. Either party may terminate the agreement for material breach that is not cured within 30 days of written notice. You can close your account at any time from the console; we will honour any pending settlements and return any customer data on reasonable request.

On termination, your right to use Eliopi ends. Sections on fees, data, intellectual property, warranty, liability, and general terms survive for the periods they are intended to cover.

§ 10Warranties and disclaimers

We warrant that Eliopi will perform materially in accordance with its published documentation during a current subscription term. We do not warrant that the service will be uninterrupted or error-free. Except as expressly set out in these terms, the service is provided on an AS IS basis, and we disclaim all other warranties, express or implied, to the fullest extent permitted by law.

§ 11Limitation of liability

Neither party is liable for indirect, consequential, incidental, or punitive damages, or for any lost profits or lost revenue, arising out of these terms or the use of Eliopi — regardless of the legal theory. Each party's aggregate liability under these terms is limited to the fees paid by you to us in the 12 months immediately before the event giving rise to the claim. Neither limitation applies to a party's indemnities, confidentiality breaches, or gross negligence.

§ 12Governing law and general terms

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Wilmington, Delaware, and the parties consent to that jurisdiction.

We may update these terms from time to time. Material changes will be announced at least 30 days before they take effect, and continued use of the service after the effective date means you accept them. If a provision is held unenforceable, the rest of the terms remain in force.
